Websites & Apps Covered: netizen.watch, learn.netizen.watch, blog.netizen.watch, news.netizen.watch, and any related domains, apps, or services we operate (collectively, the “Services”).

1) Acceptance of Terms

By accessing or using the Services, including creating an account, enrolling in courses, downloading materials, installing agents, or paying subscription fees, you agree to be bound by these Terms and all policies referenced here (Privacy Policy, Acceptable Use, and any product-specific terms). If you do not agree, do not use the Services.

2) Eligibility & Accounts

  • You must be at least 18 or have a parent/guardian consent.
  • You must provide accurate registration information and keep credentials confidential.
  • You are responsible for all activity under your account.
  • We may refuse, suspend, or terminate accounts at our discretion to protect users, data, or the platform.

3) Services Overview

Our Services may include:

  • Education & Training: Courses, workshops, assessments, certificates, and learning communities (e.g., Netizen Watch Skills Academy).
  • Consumer & SMB Security: Managed security recommendations, managed endpoint protection, managed logging, and security monitoring dashboards. We do not provide 24/7 monitoring or real-time emergency response unless expressly agreed in a separate written agreement.
  • Threat-Intel & Research: Scam/fraud research feeds, advisories, and honeypot-derived insights provided on an informational basis.

We may add, remove, or modify features at any time, with or without notice.

4) No Emergency Services; Not an MSSP/SOC of Record

Unless you sign a separate, fully executed agreement with explicit response SLAs, we are not your incident response provider, SOC of record, or emergency service. We provide educational content and consumer-grade protection guidance designed to raise awareness and reduce risk. You are responsible for your own security posture and backups.

5) Subscriptions, Pricing & Trials

  • Some Services require paid subscriptions billed on a recurring basis (monthly or annually) until canceled.
  • Prices, features, and promotions may change. Changes apply on renewal after notice.
  • Trials convert to paid plans unless canceled before the end of the trial.
  • Taxes may be added based on your billing location.

6) Payments & Billing

  • You authorize us and our payment processors (e.g., Stripe) to charge your payment method for the subscription term.
  • Failed payments may result in suspension. You remain responsible for amounts due.
  • Chargebacks may result in account termination.

7) Refunds & Cancellations

  • Unless stated otherwise, all fees are non-refundable once a billing period begins.
  • You can cancel at any time from your account page; access continues through the current paid term.
  • If a specific product advertises a money-back guarantee, those terms will govern that product.

8) Acceptable Use Policy (AUP)

You agree not to, and not to allow anyone to:

  • Use the Services for unlawful purposes, harassment, deep-fake fraud, stalking, non-consensual content, or privacy violations.
  • Probe, scan, or test the vulnerability of systems without written authorization.
  • Circumvent security, rate limits, or access controls.
  • Distribute malware, phishing, or harmful code.
  • Infringe intellectual property or violate data-protection laws.
  • Misrepresent affiliation with Netizen Watch or claim endorsements/certification not earned.

We may investigate violations and cooperate with law enforcement.

9) User Content & License

You retain ownership of content you submit (posts, messages, assignments, feedback). You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your content solely to operate and improve the Services. You represent that you have rights to your content and that it does not violate any laws or third-party rights. We may remove content that violates these Terms or the AUP.

10) Course Materials & Certification

Course videos, slides, labs, and assessments are licensed to you for personal, non-commercial use during your subscription. You may not copy, share, resell, or publicly post materials without written permission. Certificates indicate course completion or competency under our rubric and are not government or vendor certifications unless explicitly stated.

11) Software, Agents & Integrations

Some offerings may include client software, browser extensions, or mobile apps. These are licensed, not sold, and may auto-update. You must not modify, reverse engineer, or redistribute our software. Third-party tools (e.g., Supabase, Kajabi, Vercel, Mux, etc.) are subject to their own terms. We are not responsible for third-party services.

12) Data, Privacy & Security

Our Privacy Policy explains how we collect, use, and share data. By using the Services, you consent to those practices. If we process personal data as a processor on your behalf (for applicable B2B plans), the Data Processing Addendum (DPA) will apply when executed.

Sub-processors: We currently engage the following sub-processors to deliver the Services: Mailgun (email delivery) and RingCentral (communications/voice/SMS). See our Sub-Processor Notice page for full details and updates, and we will provide advance notice where required by law or contract.

You are responsible for your configurations, access controls, and backups. We employ reasonable administrative, technical, and physical safeguards but cannot guarantee absolute security.

13) Regulatory Notices (GDPR/CCPA/CPRA and Others)

GDPR (EU/UK): Where applicable, you have rights to access, correct, delete, or port personal data and to object or restrict certain processing. CCPA/CPRA (California): California residents may request disclosure of categories of personal information we collect, request deletion, and opt out of certain “sales” or “sharing” as defined by law. Requests can be submitted via [privacy@netizen.watch]. Identity verification may be required.

14) Beta Features & Research Content

Beta or research features (including honeypot-derived insights) are provided “as is” and may be incomplete or inaccurate. Do not rely on them for mission-critical decisions.

15) Disclaimers

THE SERVICES, EDUCATIONAL MATERIALS, AND RESEARCH CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND (EXPRESS OR IMPLIED), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. SECURITY GUIDANCE AND TOOLS DO NOT GUARANTEE PREVENTION OF BREACHES OR LOSSES. WE DO NOT PROVIDE LEGAL, FINANCIAL, TAX, OR PROFESSIONAL ADVICE. CONSULT YOUR ADVISORS.

16) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NETIZEN WATCH AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO NETIZEN WATCH IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

17) Indemnification

You will defend, indemnify, and hold harmless Netizen Watch from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your content, or your violation of these Terms or applicable law.

18) Suspension & Termination

We may suspend or terminate your access immediately for breach, legal risk, non-payment, or to protect the platform or users. You may terminate by canceling your subscription. Certain sections survive termination (e.g., IP, payment obligations, disclaimers, limitations, indemnity).

19) Intellectual Property

We and our licensors own all rights in the Services, including logos, trademarks, text, graphics, videos, courseware, and software. All rights reserved. You may not use our trademarks without written permission.

20) Changes to the Services or Terms

We may modify these Terms by posting an updated version with a new Effective Date. Material changes will be notified via email or in-app notice. Your continued use after changes constitutes acceptance.

21) Communications & Electronic Notices

You consent to receive electronic communications from us (emails, in-app messages, SMS if opted-in). You can opt-out of marketing emails. Transactional notices are required for your account.

22) Third-Party Links

We are not responsible for third-party websites or resources linked from the Services. Access them at your own risk.

23) Governing Law; Dispute Resolution

Venue: These Terms are governed by the laws of the State of [California] and applicable U.S. federal law, without regard to conflict-of-law principles.

Informal Resolution: Contact us first to try to resolve disputes informally within 30 days.

Arbitration & Class Action Waiver (U.S. users): Except for claims eligible for small-claims court or seeking injunctive relief for IP rights, disputes will be resolved by binding arbitration on an individual basis. You and we waive any right to a jury trial or to participate in a class action. Details will be provided in our Arbitration Addendum.

24) Export Controls & Sanctions

You may not use or export the Services in violation of U.S. export laws or economic sanctions.

25) Accessibility

We strive to make the Services accessible. If you encounter accessibility barriers, contact [accessibility@netizen.watch].

26) Entire Agreement

These Terms, together with referenced policies (Privacy Policy, AUP, DPA, Arbitration Addendum, product-specific terms), are the entire agreement between you and Netizen Watch and supersede prior understandings.

  • Disputes will be resolved by binding arbitration under AAA Consumer Rules.
  • You and we waive jury trial and class actions.
  • Small-claims court is allowed if eligible.

D. Data Processing Addendum (High-Level Outline)

  • Roles: Customer = Controller; Netizen Watch = Processor.
  • Subject matter and duration: provision of Services for the subscription term.
  • Categories of data subjects: customer personnel and end users.
  • Categories of personal data: contact info, auth data, usage telemetry.
  • Sub-processors: We currently engage Mailgun (email delivery) and RingCentral (communications/voice/SMS). We maintain a public Sub-Processor Notice and provide advance notice where required by law or contract.
  • Security measures: access controls, encryption in transit, vulnerability management.
  • Data subject requests: assistance to the controller.
  • International transfers: SCCs where applicable.
